Terms of Service

1. Agreement to Terms

By accessing or using the services provided by BowenInfo Limited ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

BowenInfo Limited provides technology consulting and implementation services, including but not limited to:

• TSP (Technology + Space + Process) Implementation
• ParkOS and OverflowX platform deployment
• Digital services including web development and e-commerce
• Strategic consulting and advisory services
• Process optimization and SOP development

3. User Obligations

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed:

• Invoices are due within 30 days of receipt
• Payments may be made by bank transfer or credit card
• All fees are quoted in Canadian dollars unless specified
• Late payments may incur interest charges

5. Intellectual Property

Unless explicitly agreed otherwise in writing:

• We retain ownership of all pre-existing intellectual property
• Client-specific deliverables are transferred upon full payment
• We retain the right to use general knowledge and techniques
• Open source components remain subject to their respective licenses

6. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the relevant services
• We are not liable for indirect, incidental, or consequential damages
• We do not guarantee specific results or outcomes
• Services are provided "as is" without warranties beyond those expressly stated

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives the termination of services.

8. Termination

Either party may terminate services:

• With 30 days written notice for ongoing engagements
• Immediately for material breach after reasonable cure period
• Immediately for insolvency or bankruptcy

Upon termination, you are responsible for fees for services rendered through the termination date.

9. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation in Vancouver, British Columbia
3. Binding arbitration in Vancouver, British Columbia in accordance with the Arbitration Act of British Columbia

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified terms.
